From: Report of Inspector of Elections (Business Connections)

Subject: Member Vote – Proposed Restated Governing Documents

This report from the Inspector of Elections is for the member vote regarding the Proposed Governing Documents: (a) Second Amendment and Restated Declaration of Covenants, Conditions, and Restrictions of Tract No. 02-1006 for Mill Creek and (b) Second Amended and Restated Bylaws of Mill Creek Summer Home Owners Association (collectively, “Proposed Governing Documents”).

The vote for this member vote ended on September 27, 2022.

The number of members entitled to vote were 119.

The voting power of each member was one vote per member.

The number of ballots returned to the Inspector of Elections was 85.

The number of ballots voting Yes on the Restated Governing Documents was 66.

The number of ballots voting No on the Restated Governing Documents was 11.

The number of invalid ballots or abstentions that were not counted was 7.

A minimum of 60 votes, or a simple majority was needed to approve the Proposed Governing Documents.

(A typo was made on the ballots indicating 2/3 majority vote was needed to pass the Proposal. In fact, both the current CC&R’s and Bylaws and the Proposed CC&R’s and Bylaws provides that only a simple majority of the members must vote in favor of the CC&R’s (50% plus one). As the CC&R’s and Bylaws prevail over a typo in the secret ballot, only a majority of the members is needed to pass the proposal.)

Thank you to all who participated in this very important matter involving our Home Owners Association. The Board will be addressing many of the questions and concerns that were brought up during this process.

Board of Directors Election Results for 2022/23

Election counting started on July 11,2022 at 4:05 p.m. and concluded at 4:29 p.m.

The results are as follows:

Mark Black- 57
Sandi Kolalowski – 54 votes
Betsy Karle- 53 votes
Bill Loker- 56 votes

A total of 62 votes were appropriately cast and counted by the Inspector of Elections. (61 needed for a quorum)

The votes were officially notarized by the Inspector of Elections on July 12, 2022.
